Terms of Service

1. Acceptance of Terms

By accessing or using the Nordite platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Nordite provides a cloud-based financial planning and analysis platform that enables organisations to create, manage, and analyse financial models, forecasts, and budgets. The Service includes data integration capabilities, AI-assisted model building, real-time calculation engines, and collaborative planning tools.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • You are responsible for all activities that occur under your account.
  • You must be at least 16 years old to create an account.

4. Your Data

4.1 Ownership

You retain all rights to the data you upload, create, or import into the Service ("Your Data"). Nordite does not claim ownership of Your Data.

4.2 Licence to Nordite

You grant Nordite a limited licence to process, store, and display Your Data solely for the purpose of providing and improving the Service. This licence terminates when you delete Your Data or close your account.

4.3 Data Portability

You may export Your Data at any time through the platform's export functionality. Upon account termination, we will make Your Data available for export for 30 days.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit malicious code.
  • Resell or redistribute the Service without our written consent.
  • Use automated means to access the Service except through our published APIs.
  • Exceed any rate limits or usage quotas established for your subscription tier.

6. Subscription and Payment

6.1 Plans

The Service is available under various subscription plans as described on our pricing page. Features and limits vary by plan.

6.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

6.3 Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

6.4 Free Tier

We may offer a free tier with limited functionality. We reserve the right to modify or discontinue the free tier at any time.

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Nordite and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Models, templates, and formulas provided by Nordite within the Service are licensed, not sold, and may only be used within the platform.

8. Third-Party Integrations

The Service supports integrations with third-party services through our connector library. Your use of third-party services is governed by their respective terms and privacy policies. Nordite is not responsible for the availability, accuracy, or practices of third-party services.

9. AI Features

Certain features of the Service use artificial intelligence and machine learning. While we strive for accuracy, AI-generated outputs (including model suggestions, formula recommendations, and forecasts) are provided for informational purposes and should be reviewed before relying on them for business decisions.

10. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice of planned downtime where possible.

11. Limitation of Liability

To the maximum extent permitted by law, Nordite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to Nordite in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nordite does not warrant that the Service will meet your specific requirements, that calculations will be error-free, or that the Service will be uninterrupted or secure.

13. Indemnification

You agree to indemnify and hold harmless Nordite and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

14. Termination

  • By you: You may close your account at any time through the platform settings or by contacting us.
  • By us: We may suspend or terminate your account if you violate these Terms or if we discontinue the Service, with reasonable notice where possible.
  • Effect: Upon termination, your right to use the Service ceases. Sections relating to data ownership, limitation of liability, and dispute resolution survive termination.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
